1. Acceptance of Terms

By engaging GDA Digital Solutions (“Agency,” “we,” “us”) for services—including but not limited to Website Design, Email Marketing, Lead Generation, or Consulting—the Client (“you”) agrees to be bound by these Terms and Conditions. These terms apply to all quotes, invoices, and service agreements unless explicitly superseded by a separate written contract.

Scope of Services

  • Deliverables: The specific services to be provided (e.g., website development, newsletter setup) will be outlined in a specific Proposal or Invoice provided to the Client.

  • Exclusions: Any task not explicitly listed in the Proposal is considered “Out of Scope” and will require a separate quote.

  • Third-Party Tools: We may recommend third-party software (e.g., hosting, email platforms, domain registrars). The Client is responsible for the costs and adherence to the terms of these third-party providers.

 

Client Obligations

To ensure the project moves forward on time, you agree to:

  • Provide Content: Supply all text, images, logos, and other necessary assets within the timeframe agreed upon.

  • Access: Provide necessary access to hosting accounts, social media profiles, or analytics dashboards required for us to perform the work.

  • Timely Feedback: Respond to our requests for review or approval within 3 business days. Delays in Client feedback will result in a delay in the final delivery date.

 

Payment Terms

  • Deposit: A non-refundable deposit (typically 70%, or as stated in the invoice) is required before any work begins.

  • Balance: The remaining balance is due upon project completion or before the final website/campaign is launched/transferred to the Client’s server.

  • Currency: Unless otherwise agreed, all payments are to be made in Nigerian Naira (NGN) via bank transfer to the account details provided on the invoice.

  • Late Fees: Invoices not paid within 7 days of the due date may be subject to a late fee of 5% of the outstanding balance.

  • “Free Website” Initiatives: For clients participating in our partnership programs (e.g., MOHAC AFRICA), specific terms regarding domain registration fees and hosting maintenance costs will apply as per the specific program agreement.

 

Revisions and Alterations

  • Included Revisions: Our standard pricing includes two (2) rounds of revisions during the design phase.

  • Scope Creep: Any changes requested after the design has been approved, or changes that significantly alter the original scope (e.g., adding new pages, changing the entire layout after approval), will be billed at our standard hourly rate.

 

Intellectual Property (IP) & Copyright

  • Transfer of Rights: Upon full payment of all outstanding invoices, GDA Digital Solutions grants the Client the copyright to the final design and code created specifically for their project.

  • Agency Rights: We retain the right to use the completed project in our portfolio, marketing materials, and case studies.

  • Background IP: We retain ownership of our underlying code libraries, frameworks, and tools used to build the project. You are granted a license to use them for the operation of your website.

 

Warranties and Disclaimers

  • No Guarantees on ROI: While we employ best practices for Lead Generation and SEO, we cannot guarantee specific results (e.g., #1 ranking on Google, specific number of sales, or viral growth) as these are influenced by third-party platforms and market conditions.

  • Functionality: We warranty that websites will function correctly at the time of launch. We are not responsible for issues caused by software updates (e.g., WordPress plugins breaking) or third-party changes occurring after the launch, unless a Maintenance Agreement is in place.

 

Cancellation and Termination

  • By Client: You may cancel the project at any time. In such an event, the deposit is non-refundable. If the work completed exceeds the deposit amount, you agree to pay for all work finished up to the point of cancellation.

  • By Agency: We reserve the right to terminate the agreement if the Client breaches these terms (e.g., non-payment, abusive behavior).

 

Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in Lagos State.
